Terms of Service

Agreement

These terms govern your use of stroupedigital.com and our services. By using the site or engaging us, you agree to them. Questions? Email nicholas.stroupe@stroupedigital.com.

Our services

We provide web design and development, and a client analytics dashboard offered as a monthly subscription. Specific deliverables, timelines and fees for project work are set out in a separate proposal or statement of work.

Payments

Project fees are quoted per engagement and invoiced as agreed. The analytics dashboard is billed monthly and you can cancel anytime; it stops at the end of the current period. Completed, delivered work is non-refundable. Subscriptions are non-refundable for the current period but you won't be charged again after you cancel.

Your responsibilities

• Provide accurate information and any content or access we need to do the work.
• Ensure you have the rights to any materials you give us.
• Use the dashboard and our services lawfully and not attempt to disrupt or reverse-engineer them.

Intellectual property

On full payment, you own the final deliverables we create for you. We retain ownership of our pre-existing tools, frameworks and know-how, and the right to feature the work in our portfolio unless we agree otherwise in writing.

The dashboard & data

The analytics we collect on your behalf are yours. You're responsible for having a lawful basis and a privacy notice for tracking visitors on your own site. We isolate each client's data and won't share it.

Warranty & liability

We deliver our services with reasonable skill and care, but the site and services are provided "as is" without other warranties. To the fullest extent permitted by law, our total liability for any claim is limited to the fees you paid us in the three months before the claim, and we're not liable for indirect or consequential losses.

Termination

Either party may end an engagement per the terms of the relevant proposal. We may suspend the dashboard for non-payment or misuse. On cancellation, access ends and we stop collecting new data for your site.

Governing law

These terms are governed by the laws of the State of Florida, USA.

Changes

We may update these terms; the current version always lives here with the date above.
